Driver Self-service Check-in Terms of Service

1  Scope and Acceptance of the Terms

1.1 These Terms of Service (the “Terms”) govern the access and use of Driver Self-Service Check-In Application (the “Service”) provided by Finnlines Plc, Business ID 0201153-9, having its registered office at Komentosilta 1, 00980 Helsinki, Finland (“Finnlines”).

1.2. Your access and use of the Service are subject to and governed by these Terms. These Terms form a legally binding agreement between You and Finnlines. By using the Service and clicking an “I Accept” button as part of a registration process, You accept and agree to be bound by these Terms. If You do not agree to these Terms, You must not use the Service.

1.3 Finnlines reserves the right to modify and amend these Terms from time to time to reflect changes in its business, applicable law, or for other reasons deemed necessary by Finnlines. Finnlines may provide notices, including those regarding changes to these Terms, by e-mail. Such changes to these Terms will however be effective without separate notice, and it is advised that You regularly review these Terms. Your continued use of the Service following any changes implies Your acceptance of the modified Terms.

2 User Account and Use of the Service

2.1 Finnlines grants You a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use the Service. The Service is intended for Your personal usage only. Your use of the Service must comply with these Terms and all applicable laws, regulations, and ordinances. You warrant that You will not use the Service for any purpose that is unlawful or prohibited by these Terms.

2.2 You must provide accurate and complete registration information when registering to use the Service. You are responsible for the security of Your personal password and for any use of Your account. You agree to notify Finnlines immediately if You become aware of any unauthorised use of Your personal password or account.

2.3 You shall not: (i) attempt to copy, modify, duplicate, create derivative works from, republish, download, display or distribute all or any portion of the Service in any form or media or by any means; (ii) access all or any part of the Service to build a product or service or feature that competes with the Service; (iii) attempt to obtain, or assist third parties in obtaining, unauthorised access to the Service; or (iv) license, sell, transfer, assign, distribute, display, disclose or otherwise make the Service available to any unauthorised third party.

3 Intellectual Property Rights

3.1 You agree and acknowledge that all rights, title, and interest, including all intellectual property rights in and to the Service and any data and documentation related thereto, are owned and remain vested in Finnlines or a third party. No intellectual property rights of Finnlines or a third party shall be transferred, assigned, or licensed pursuant to these Terms.

3.2 The trade names, trademarks and product or service names appearing on the Service are the property of Finnlines and may not be used in any way without the prior written consent of Finnlines. The use of the Service does not constitute any licence or right to use any trademark, trade name, or product or service name without the prior written consent of Finnlines.

3.3 Finnlines may collect information on the usage of the Service and other related statistics and may process and analyse such data. The collected usage data will be anonymous, making it impossible to identify individual users from the information. You agree that all such usage data and any comments, feedback, suggestions, and ideas provided by You for improving the Service will be fully assigned to Finnlines. Finnlines shall own all rights, title, and interest to use such data in its business development and has the authority to incorporate them into the Service or its product offerings.

4 Data Protection

4.1 To provide the Service, Finnlines processes certain personal data as data controller in accordance with the EU General Data Protection Regulation (EU) 2016/679. The Privacy Notice explains the way Finnlines handles and protects personal data in relation to the use of the Service.

4.2 You must provide Finnlines with complete, true, and current information, including personal data, and to keep Your personal data accurate and up to date.

5 No Warranties

5.1 Finnlines makes no representation or warranty that the Service will be error-free, nor that the Service will operate without interruption. However, Finnlines agrees to use commercially reasonably efforts to correct any material error or deficiency in the Service.

5.2 The Service is provided on an “as is” and “as available” basis. No representations, warranties, or guarantees, whether expressed or implied, are made regarding any aspects of the Service, including but not limited to, (i) expressed or implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, or (ii) the accuracy, timeliness, completeness, and accessibility of the Service.

5.3 Finnlines makes no representations with respect to the accuracy of the data displayed in the Service.

6 Limitation of Liability

6.1 You agree and acknowledge that, to the greatest extent permitted by law, Finnlines shall not be responsible or deemed liable for any damage or loss that may arise or be caused to You in connection with the use of the Service or from any inability to use the same.

6.2 Finnlines shall, under no circumstances, be liable for any indirect, incidental, or consequential loss or damage, any unforeseeable loss, damage, or cost, or loss of goodwill.

7 Term and Termination

7.1 Finnlines may terminate Your right to use the Service at any time and with immediate effect in the event of actual or suspected unauthorised use of the Service or non-compliance with these Terms.

7.2 Upon expiration or termination of Your right to use the Service, You are obliged to immediately cease using the Service.

8 Governing Law and Disputes

8.1 These Terms shall be governed by and construed in accordance with the laws of Finland, excluding its conflict of laws provisions and principles.

8.2 Any dispute, controversy or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The seat of arbitration shall be Helsinki, Finland. The language of the arbitration shall be Finnish.
